Spirit Within New Age Radio - Broadcast License Agreement

1) I, the undersigned artist or legal artists representative, hereby warrant (and have verified) that I am the *sole* copyright owner for each of my non-musical or musical composition(s) and sound recording(s) (hereafter referred to collectively as .Works) included on Spirit Within New Age Radio and the Spirit Within Alliance Network, subsidiaries, affiliations, syndicates, and subscriber radio stations, Spirit Within New Age Radio and Spirit Within Alliance Network (hereafter referred to as SWNAR/SWAN) and that I have the full legal authority to grant a license to publicly perform and broadcast said Works. If the musical or non-musical composition is a public domain work, I affirm that I own 100% of the copyright on the arrangement of said non-musical or musical composition.

2) As the sole copyright owner for said Works, I give Jon Nipp and SWNAR/SWAN my full permission to publicly perform and broadcast these Works over the Internet, Terrestrial Radio Stations, and other broadcast platforms in existence now or in the future. By signing this statement, I grant Jon Nipp and SWNAR/SWAN a license to publicly perform and broadcast these Works via SWNAR/SWAN, royalty-free, in exchange for the opportunity to have my non-musical or musical composition heard by SWNAR/SWAN listeners. I understand that I retain all rights, titles, and interest to my Works including, without limitation, all copyrights. I understand that signing this agreement does not obligate SWNAR/SWAN to broadcast said Works.

3) As the copyright owner of the Works, I declare that in regards to licensing my Works to Jon Nipp and SWNAR/SWAN, I will represent myself. I waive representation by SoundExchange (for the RIAA, AFTRA and AFM), BMI, ASCAP, SESAC, and all international performance royalty collection agencies or organizations only as it relates to the inclusion of the Works in the various broadcast forms of SWNAR/SWAN programming and the programming of subscriber or simulcaster radio stations and entities. I grant SWNAR/SWAN the right to merge tracks on any Works, to include portions of or an entire CD/Work into one track to air, and to edit for content, profanity, or sexual content, using filters, volume control, or deletion of said profanity or sexual content.

4) OPT OUT OPTION: I understand that, at my written request, I may have the Works removed from the SWNAR/SWAN broadcast network at any time I wish. I will allow up to 30 days for the Works to be removed, though I understand the Works may be removed immediately upon notice.

5) TERMINATION ON TRANSFER OF OWNERSHIP: If at any time, ownership of SWNAR/SWAN  is transferred or otherwise conveyed to anyone other than Jon Nipp or a company directly controlled by him, or his immediate family members, I understand this contract is null and void and must be re-negotiated between myself and the new owner.

6) TERM: This license agreement is valid retroactively from January 1, 2006 until two years after the date signed (below) thereafter, unless earlier terminated pursuant to #4 or #5, above. Thereafter, the term will automatically renew every two years unless #4 or #5 is enacted. I understand that I. or SWNAR/SWAN, may terminate or update this agreement at any time with 30 days notice.
